Terms and Conditions

Effective Date: 29 September 2026
Last Updated: 29 September 2026

1. Introduction

These Terms and Conditions govern access to and use of the website, products and services provided by Immensesoft Innovations Private Limited (“ImmenseSoft,” “we,” “us,” or “our”).

They cover our website, mobile applications, web applications, custom software development services, AI agents, CRM products and POS products.

“You” or “customer” means the individual or organisation using or purchasing our services.

Please read these terms before placing an order or using a service. Where acceptance is required, it may be recorded through an order, signed agreement or electronic acceptance.

2. Eligibility and Authority

You must be legally competent to enter into a binding agreement to purchase our services.

If you act on behalf of a company or another organisation, you confirm that you have authority to accept the applicable terms on its behalf.

You must provide accurate information necessary for us to fulfil your request and notify us of material changes.

3. Service Agreements and Scope

The scope of each engagement, including deliverables, features, pricing, payment schedule, timelines, support and exclusions, will be described in the applicable accepted quotation, order or service agreement.

If a project-specific agreement conflicts with these general terms, the project-specific agreement takes precedence for that engagement, subject to applicable law.

Website descriptions are general information and do not automatically form part of a project’s agreed scope.

Additional features, integrations, revisions or services outside the agreed scope require mutual agreement and may involve additional charges or revised timelines.

4. Customer Responsibilities

You are responsible for:

  • Providing accurate requirements, content and instructions.

  • Supplying agreed approvals, feedback and authorized access in a timely manner.

  • Ensuring that materials supplied to us can lawfully be used for the project.

  • Reviewing deliverables against the agreed requirements.

  • Using our products and services lawfully.

  • Protecting account credentials where accounts are provided.

Customer delays or changes may affect delivery dates. We will communicate the resulting impact and any proposed adjustments.

5. Fees and Payments

Fees, applicable taxes, payment milestones and recurring charges will be stated in the relevant quotation, order or agreement.

Third-party costs, including hosting, domains, licences, messaging, API usage and app-store accounts, will be allocated as stated in that agreement.

Any renewal terms or recurring billing arrangements must be disclosed before purchase. Additional chargeable work requires customer agreement.

If an undisputed payment remains overdue, we may suspend the affected work or service after written notice and a reasonable opportunity to resolve the issue, subject to the applicable agreement and law.

6. Delivery, Testing and Acceptance

Delivery schedules depend on the agreed scope and the timely availability of necessary information, approvals and access.

Testing and acceptance will follow the applicable project agreement. Customers should report defects with sufficient information for us to investigate them.

A defect is a failure to meet an agreed requirement. A request for new functionality or a change to an approved requirement may be treated as additional work.

Third-party reviews and approvals, including app-store approval, are outside our direct control and are not guaranteed.

7. Software Access and Permitted Use

Access to our CRM, POS and other software products is subject to the licence, subscription or service arrangement agreed with you.

You must not:

  • Access systems or information without authorization.

  • Introduce malware or intentionally disrupt a service.

  • Use a service for fraud, unlawful activity or infringement of another person’s rights.

  • Bypass security measures or agreed usage limits.

  • Resell, sublicense or distribute software unless permitted by the applicable agreement.

  • Reverse engineer software except where applicable law permits it.

You are responsible for use by persons you authorize to access your account or licensed software.

8. Intellectual Property

Each party retains ownership of intellectual property it owned before the engagement.

You retain rights in materials you supply and grant us the permissions reasonably necessary to use them for the agreed work.

Ownership, licensing and source-code delivery for custom developments will be governed by the applicable project agreement. Purchasing development services does not, by itself, determine ownership of every component used in the solution.

Our existing tools, frameworks and reusable components remain subject to their applicable ownership and licence terms. Third-party and open-source components remain subject to their respective licences.

Neither party may use the other party’s name, logo or confidential project materials for publicity without permission.

9. Third-Party Services and Google Integrations

A solution may depend on third-party hosting, payment services, communication platforms, Google APIs or other integrations.

Use of those services may require separate accounts, fees, permissions and acceptance of the relevant provider’s terms.

Third-party changes, outages, restrictions or discontinuation may affect related functionality. We will discuss material impacts and available options where they affect the agreed service.

Google integrations must be used in accordance with applicable Google terms and policies. Customers must not instruct us to access information without authorization or violate third-party rights.

10. AI Agent Services

AI-generated outputs may contain inaccuracies, omissions or unsuitable recommendations. You should review outputs before relying on them or using them in business decisions.

Actions involving external communications, transactions or system changes should operate within the permissions and approval process agreed for the AI agent.

You must have the necessary rights and authority to provide information to an AI service. Personal or confidential information should only be submitted where permitted by the applicable service arrangements.

11. Privacy and Confidentiality

Our handling of personal information is described in our Privacy Policy.

Each party must protect non-public business, technical and other confidential information received during an engagement. Such information may be used only for the agreed purpose and disclosed only to authorized persons who need access or where legally required.

Confidentiality obligations do not apply to information that is lawfully public, independently developed or lawfully obtained without a confidentiality restriction.

Any agreed data-processing or confidentiality agreement supplements this section.

12. Support, Maintenance and Backups

Support hours, response commitments, maintenance, upgrades and any warranty period are governed by the applicable service agreement.

Ongoing maintenance and future feature development are included only where expressly agreed.

Responsibility for hosting, backups, retention and restoration must be defined in the relevant agreement. Customers should not assume that a backup or disaster-recovery service is included unless it is expressly stated.

13. Cancellation, Refunds and Termination

Cancellation, refund and termination rights are governed by the terms disclosed and accepted for the relevant service, together with applicable law.

Where an agreement does not specify a cancellation calculation, we will assess completed work, payments received and authorized non-cancellable costs, and communicate the proposed settlement. This does not limit any mandatory refund entitlement.

Either party may terminate for a material breach that remains unresolved after written notice and a reasonable opportunity to remedy it. Immediate suspension may be necessary to address unlawful activity or a serious security risk.

On termination, outstanding payments, access closure and any agreed handover or data return will be handled under the applicable agreement. Termination does not remove rights or obligations that accrued beforehand.

14. Service Standards and Limitations

We will perform agreed services with reasonable care and skill.

Unless expressly agreed, we do not guarantee uninterrupted operation, compatibility with every third-party system, or particular commercial outcomes such as sales, revenue or search rankings.

These limitations do not remove any warranty, remedy or protection that cannot lawfully be excluded.

15. Liability

Each party remains responsible for its obligations under the applicable agreement and law.

To the extent permitted by law, neither party will be liable for indirect or consequential losses arising from the engagement. Any financial cap on liability must be expressly stated in the applicable service agreement.

Nothing in these terms excludes or limits liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

16. Events Beyond Reasonable Control

Neither party will be responsible for a delay or failure caused by an event beyond its reasonable control, to the extent the event prevents performance.

The affected party must inform the other party, take reasonable steps to reduce the impact and resume performance when reasonably possible. Prolonged disruption will be addressed through the applicable agreement or a mutually agreed resolution.

17. Governing Law and Disputes

These terms are governed by the laws of India.

If a dispute arises, please contact us first so that both parties can attempt to resolve it through discussion.

Subject to applicable law, disputes may be brought before competent courts in Mumbai, Maharashtra. This does not restrict access to a consumer forum, statutory authority or another forum where the law provides that right.

18. Changes to These Terms

We may revise these terms and publish an updated version with a revised date.

Changes will not retrospectively alter an accepted project agreement. Material changes affecting an ongoing service will be communicated, and acceptance obtained where required.

19. General Provisions

If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure to enforce a provision immediately does not waive the right to enforce it later.

These terms and the applicable accepted quotation, order or agreement together govern the relevant engagement.
